1. Acceptance of Terms

By accessing or using the Finanzo mobile application, web application, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Finanzo LLC (“Finanzo,” “we,” “our,” or “us”). Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

2. Description of Service

Finanzo provides a personal finance management platform that allows users to:

• Connect and aggregate financial accounts from various institutions
• Track spending, transactions, and account balances
• Set and monitor financial goals
• Communicate with loan officers and mortgage professionals
• Search for properties and calculate mortgage payments
• View refinance opportunities and potential savings
• Manage CRM functions (for mortgage professionals)

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be a resident of the United States (or have legal authority to access US financial services)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable law

By using our Services, you represent and warrant that you meet all eligibility requirements.

4. User Accounts

4.1 Account Registration

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We recommend enabling multi-factor authentication and using strong, unique passwords.

4.3 Account Types

We offer different account types for consumers and mortgage professionals. Professional accounts may require additional verification (such as NMLS ID verification) and are subject to additional terms.

5. Acceptable Use

You agree NOT to use the Services to:

• Violate any applicable law or regulation
• Infringe on the rights of others, including intellectual property rights
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated systems (bots, scrapers) without our written permission
• Harass, abuse, or harm other users
• Provide false or misleading information
• Use the Services for any illegal or fraudulent purpose
• Interfere with or disrupt the Services
• Reverse engineer, decompile, or disassemble any part of the Services

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including terminating their account.

6. Third-Party Services

Our Services integrate with third-party services, including but not limited to:

• Plaid: For financial account aggregation and verification
• Stripe: For payment processing
• Twilio: For SMS and phone communications
• Firebase: For push notifications

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of these third-party services.

7. SMS/Text Messaging Terms

7.1 Program Description

By providing your phone number and opting in during account registration or login, you consent to receive SMS text messages from Finanzo for account verification and security purposes. These messages include one-time passcodes (OTPs) used to verify your identity when logging in, signing up, or completing multi-factor authentication.

7.2 Message Frequency

Message frequency varies based on your account activity. You will receive SMS messages only when you initiate an action that requires verification, such as logging in from an unrecognized device, registering a new account, or completing a security-sensitive action. Typical usage results in 1–5 messages per month.

7.3 Message and Data Rates

Message and data rates may apply. Your mobile carrier's standard messaging and data rates will apply to any SMS messages you receive from Finanzo. Finanzo does not charge for SMS messages, but your carrier may. Please contact your mobile carrier for details about your specific plan and pricing.

7.4 Opt-In and Consent

You opt in to receive SMS messages from Finanzo by:

• Providing your phone number during account registration on our website (finanzo.io) or mobile app, and checking the SMS consent checkbox
• Initiating a phone-based login, which sends a one-time passcode to your registered phone number
• Enabling SMS-based multi-factor authentication in your account settings

Consent to receive SMS messages is not a condition of purchasing any goods or services from Finanzo.

7.5 Opt-Out Instructions

You may opt out of receiving SMS messages at any time by texting STOP to any message you receive from Finanzo. After sending STOP, you will receive a one-time confirmation message, and no further SMS messages will be sent to your phone number. Please note that opting out of SMS verification may require you to use an alternative authentication method (such as email or authenticator app) to access your account.

7.7 Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages. Finanzo is not responsible for SMS messages that are not received due to carrier network issues, device compatibility, or incorrect phone numbers.

7.8 Privacy

Your phone number and SMS opt-in data will not be shared with third parties or affiliates for marketing or promotional purposes. Phone numbers collected for SMS verification are used solely for the purpose of sending authentication and security-related messages. 8. Financial Information Disclaimer

The information displayed in the Services is for informational purposes only and should not be construed as professional advice. Always consult with qualified financial, legal, or tax professionals before making financial decisions.

Refinance calculations, savings estimates, and opportunity recommendations are based on the information you provide and general market data. Actual results may vary based on your specific circumstances, creditworthiness, and current market conditions.

We do not guarantee the accuracy, completeness, or timeliness of any information provided by third-party data sources, including financial institutions and real estate data providers.

9. Intellectual Property

9.1 Our Intellectual Property

The Services, including all content, features, functionality, software, text, graphics, logos, and trademarks, are owned by Finanzo or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes (or commercial purposes if you have a Professional account) in accordance with these Terms.

9.2 Restrictions

You may not:

• Copy, modify, or distribute any content from the Services without our permission
• Use our trademarks without written authorization
• Remove any copyright or proprietary notices
• Create derivative works based on our content

10. User Content

You retain ownership of any content you submit to the Services (“User Content”). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute such content solely for the purpose of providing the Services.

You represent and warrant that you have all necessary rights to submit User Content and that such content does not violate any third-party rights or applicable laws.

11. Termination

11.1 Termination by You

You may terminate your account at any time by deleting your account through the Settings menu or by contacting us at support@finanzo.io.

11.2 Termination by Us

We may terminate or suspend your account at any time, with or without cause, and with or without notice. Reasons for termination may include:

• Violation of these Terms
• Fraudulent or illegal activity
• Request by law enforcement
• Extended periods of inactivity
• Technical or security issues

11.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your account data in accordance with our data retention policies, unless retention is required by law.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF INFORMATION
• UNINTERRUPTED OR ERROR-FREE SERVICE

We do not warrant that the Services will meet your requirements or that any errors will be corrected.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINANZO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, OR GOODWILL
• COST OF PROCUREMENT OF SUBSTITUTE SERVICES
• ANY DAMAGES RESULTING FROM YOUR USE OF THE SERVICES

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Finanzo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at legal@finanzo.io to attempt to resolve the dispute informally. We will attempt to resolve any dispute within 60 days.

15.2 Arbitration

If informal resolution is unsuccessful, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration shall take place in Delaware or at a mutually agreed location. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15.4 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

17. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the “Last Updated” date
• Notify you via email or in-app notification
• Provide at least 30 days notice before changes take effect

Your continued use of the Services after changes take effect constitutes acceptance of the new Terms.
